1. Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Artwork as described below:

  • Permitted Uses:
    • Use as a business logo, including digital and print applications.
    • Print the design on merchandise for personal use or as promotional items for their business.
  • Restrictions:
    • The Licensee may not sell the Artwork or merchandise featuring the Artwork for profit.
    • The Licensee may not sublicense, modify, or transfer this license to a third party without prior written consent from the Licensor.

2. Payment Terms

The Licensee agrees to pay a one-time licensing fee of $200 USD. This license becomes effective only after full payment is received by the Licensor.

3. Ownership and Copyright

The Licensor retains full ownership and copyright of the Artwork. This agreement grants usage rights only and does not transfer ownership to the Licensee.

4. Duration

This license is granted in perpetuity unless terminated by the Licensor for breach of the agreement.

5. Indemnification

The Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, or liabilities arising from the use of the Artwork.

6. Termination

The Licensor may terminate this agreement immediately if the Licensee fails to comply with its terms. Upon termination, all rights granted to the Licensee will cease.

7. Entire Agreement

This agreement constitutes the entire understanding between the parties regarding the Artwork and supersedes all prior agreements or understandings.
